BY ACCESSING OR USING WEALTHSPRING, YOU EXPRESSLY ACKNOWLEDGE AND AGREE TO THE FOLLOWING:

ALL INVESTMENTS CARRY RISK. You may lose some or all of your invested capital. There is no guarantee of profit or protection against loss.
WEALTHSPRING, ITS OWNERS, OPERATORS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND PARTNERS ARE NOT LIABLE for any financial losses, theft of funds, security breaches, damages (direct, indirect, incidental, consequential, or punitive), or any other harm arising from your use of this platform.
NO LIABILITY FOR CYBERSECURITY INCIDENTS. We are NOT liable for any losses, damages, or harm resulting from hacking, data breaches, viruses, malware, phishing, unauthorized access, system compromises, data leaks, or any other cybersecurity incidents, whether caused by third parties, system vulnerabilities, or any other reason.
NO LIABILITY FOR DATA OR MONEY LOSS. We assume NO responsibility for loss, theft, or corruption of your data, funds, assets, personal information, or any other property, regardless of cause.
YOU ASSUME FULL RESPONSIBILITY for all investment decisions, trading activities, account security, and any resulting gains or losses.

1. Acceptance of Terms

By accessing, registering for, or using Wealthspring ("the Platform," "the Service," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the Platform.

2. No Financial Advice

Wealthspring provides tools, data, and AI-generated insights for informational purposes only. Nothing on this platform constitutes financial, investment, legal, or tax advice.

We are not a registered investment advisor, broker-dealer, or financial planner.
AI recommendations and market analysis are algorithmic outputs and should not be relied upon as professional advice.
You should consult qualified financial professionals before making any investment decisions.
We do not guarantee the accuracy, completeness, or timeliness of any information provided.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Wealthspring, its owners, operators, directors, officers, employees, agents, affiliates, and partners shall NOT be liable for any losses, damages, or claims arising from:
- Your investment decisions or trading activities
- Market fluctuations or volatility
- Security breaches, hacking, phishing, or unauthorized access to your account
- Viruses, malware, ransomware, or any malicious code
- Data breaches, data leaks, or exposure of personal information
- Theft, loss, or corruption of funds, data, or assets
- System compromises, cyberattacks, or network intrusions
- Technical failures, system outages, bugs, or errors in the platform
- Inaccurate AI predictions, market analysis, or recommendations
- Actions of third-party brokers, exchanges, or payment processors
- Your failure to secure your account credentials or devices
- Any other cause whatsoever, whether foreseeable or not
YOU WAIVE ANY AND ALL CLAIMS against Wealthspring and its affiliates for any damages, losses, or harm of any kind, including but not limited to direct, indirect, incidental, consequential, special, exemplary, or punitive damages.
Our total liability for any claim shall not exceed the fees you paid to us in the 12 months preceding the claim, or $100 USD, whichever is less.

4. User Responsibilities

You agree to:

Provide accurate and complete information during registration
Maintain the confidentiality of your account credentials
Accept full responsibility for all activities under your account
Comply with all applicable laws and regulations in your jurisdiction
Not use the platform for any illegal, fraudulent, or unauthorized purposes
Understand that you are solely responsible for any tax obligations arising from your activities

5. Third-Party Services

The Platform integrates with third-party services including but not limited to:

Trading platforms (Alpaca, Binance, Tradier, etc.)
Payment processors (Stripe, etc.)
Market data providers

We are not responsible for the actions, policies, or security of these third-party services. Your use of these services is subject to their respective terms and conditions.

6. Subscription and Fees

Subscription fees are billed in advance and are non-refundable except as required by law.
Transaction fees (trade fees, withdrawal fees, conversion fees) are deducted automatically.
We reserve the right to modify pricing with 30 days notice.
Failure to pay may result in suspension or termination of your account.

7. Account Security

You are solely responsible for maintaining the security of your account.
We are NOT liable for any unauthorized access resulting from your failure to protect your credentials.
Report any suspected unauthorized access immediately to info@wealthspring.co.

INVESTMENT RISK WARNING

Trading and investing in financial markets involves substantial risk of loss. You should carefully consider whether trading or investing is appropriate for you in light of your financial condition. Only invest money you can afford to lose entirely.

Cryptocurrency, stocks, forex, and other financial instruments are highly volatile. Prices can fluctuate widely, and you may sustain a total loss of your investment.

8. Indemnification

You agree to indemnify, defend, and hold harmless Wealthspring, its owners, directors, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any rights of third parties
Your investment decisions and trading activities

9. Intellectual Property & Proprietary Rights

All content, software, algorithms, AI systems, and technology on Wealthspring are protected by copyright and intellectual property laws.

Ownership: Wealthspring and its licensors own all rights, title, and interest in the Platform, including but not limited to:
- All software code, architecture, and technical implementations
- All AI and machine learning algorithms, models, and systems
- All trading strategies, safety mechanisms, and protection systems
- All user interface designs, graphics, and visual elements
- All trademarks, logos, and branding materials
Restrictions: You may NOT:
- Copy, reproduce, or duplicate any part of the Platform
- Reverse engineer, decompile, or attempt to extract source code
- Create derivative works based on the Platform
- Redistribute, sell, license, or transfer any Platform components
- Remove or alter any copyright, trademark, or proprietary notices
Trade Secrets: The AI algorithms, safety systems, quantum computing integrations, and proprietary trading mechanisms constitute trade secrets. Any unauthorized disclosure, copying, or use is strictly prohibited and may result in legal action.
Your Content: You retain ownership of data you upload. By using the Platform, you grant us a limited license to process your data solely to provide our services.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, unless prohibited by law in your jurisdiction.

11. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
